Acceptable Use Policy (AUP)

This Acceptable Use Policy (“AUP”) governs your use of the Listaid Ltd. website, platform, integrations, AI tools, and related services (“Services”), whether accessed directly or through an authorised reseller or integration partner (such as Cybertill Limited). This AUP is incorporated into and forms part of the Terms of Use and should be read together with the Privacy Policy.

1. Relationship to Other Agreements

1.1 Terms of Use

This AUP supplements the Terms of Use. Where the AUP addresses specific behaviors, restrictions, or obligations related to user conduct, the Terms of Use govern the overall contractual relationship between you and Listaid Ltd. If there is a conflict between the AUP and the Terms of Use, the Terms of Use control the contractual relationship, and this AUP governs user conduct.

1.2 Privacy Policy

This AUP should be read in conjunction with the Privacy Policy. User behavior relating to the handling of data must comply with the Privacy Policy, which governs data collection, processing, privacy obligations, user rights, AI data practices, and international data transfers.

2. Permitted Use

Users may access and use the Services subject to the TOU and Privacy Policy, including:

  • Managing business workflows
  • Organizing and analyzing business or inventory data
  • Integrating with authorized third-party systems (eBay, POS systems, etc.)
  • Using AI tools to support business decisions (with required human oversight)
  • Creating listings, descriptions, and operational content

2A. Fair Use of Pricing Intelligence Services

2A.1 Purpose

The Services include Item Intake and Analysis features (“Pricing Intelligence”) that use artificial intelligence to generate market intelligence, including condition assessment, comparable pricing data, popularity scoring, and seasonal demand analysis. These features are provided as an integrated component of the ListAid platform to support the end-to-end workflow of processing, pricing, and listing donated items. Pricing Intelligence is not provided as a standalone data or analytics service.

2A.2 Fair Use Expectation

Each subscription tier includes a defined volume of listed items per month. Customers are expected to use the platform’s full listing workflow in proportion to their use of Pricing Intelligence. Specifically, Customers must convert a reasonable proportion of scanned items into published listings (whether on third-party marketplaces or through the integrated point-of-sale system) during each billing cycle.

2A.3 Fair Use Threshold

Unless otherwise agreed in an Order Form, the following fair-use thresholds apply:

  • Listing Conversion Ratio. In any rolling 30-day period, a Customer must list (via marketplace publishing) at least 10% of the total items scanned using the Pricing Intelligence features during the same period (the “Minimum Listing Ratio”).
  • Scan Volume Cap. In any rolling 30-day period, a Customer may scan up to ten (10) times the number of listed items included in their subscription tier without triggering a fair-use review. Scans exceeding this multiple may be subject to the remedies set out in Section 2A.5.
  • Grace Period. New Customers are granted a grace period of sixty (60) days from account activation during which the Minimum Listing Ratio and Scan Volume Cap do not apply, to allow for onboarding, staff training, and workflow setup.

2A.4 Monitoring and Notification

ListAid Ltd. may monitor the ratio of scanned items to listed items on a per-Customer basis to assess compliance with this Section.

  • If a Customer’s usage patterns indicate that the Minimum Listing Ratio or Scan Volume Cap is likely to be breached, Listaid Ltd. will use reasonable efforts to notify the Customer by email or in-platform notification before taking any remedial action.
  • The notification will identify the nature of the fair-use concern and provide the Customer with fourteen (14) days to bring usage into compliance or to contact ListAid Ltd. to discuss alternative arrangements (a “Fair Use Notice Period”).
  • Nothing in this Section prevents ListAid Ltd. from taking immediate action under Section 7 (Enforcement) if the Customer’s usage constitutes abuse, automated extraction, or a Prohibited Activity under Section 3.

2A.5 Remedies

If, following the Fair Use Notice Period, a Customer remains in breach of the fair-use thresholds, ListAid Ltd. may, at its sole discretion and in addition to any rights under Section 7 of this AUP:

  • Throttle or rate-limit the Customer’s access to Pricing Intelligence features, including by imposing a daily, weekly, or monthly cap on the number of items that may be scanned.
  • Require the Customer to upgrade to a higher subscription tier commensurate with their scan volume.
  • Apply an excess-usage fee for scans exceeding the Scan Volume Cap, at a rate published in the applicable Order Form or on the Listaid Ltd. website.
  • Terminate the Customer’s subscription in accordance with the SaaS Terms if the breach is material and remains uncured.

2A.6 Custom Arrangements

Customers with legitimate business needs that require a higher volume of Pricing Intelligence relative to listings (for example, organisations using pricing data to inform in-store pricing decisions for items that are not listed online) may request a custom fair-use arrangement by contacting ListAid Ltd. Custom arrangements must be agreed in writing and may be reflected in an Order Form or written addendum.

2A.7 No Standalone Use

For the avoidance of doubt, the Pricing Intelligence features are provided solely as part of the integrated ListAid platform and are not licensed for use as a standalone pricing, valuation, or market-data service. Use of the Pricing Intelligence features primarily or exclusively for the purpose of obtaining pricing data without intent to list items through the platform constitutes a breach of this Section and may also constitute a Prohibited Activity under Section 3.

3. Prohibited Activities

Prohibited actions under this AUP constitute a violation of the Terms of Use and may result in suspension or termination.

3.1 Illegal or Non-Compliant Activity

You may not use the Services in connection with any activity that violates applicable laws, regulations, or industry codes of practice. Without limitation, you must not:

  • Use the Services to process, list, price, or sell items that are illegal to sell, stolen, recalled, or subject to regulatory restrictions in the applicable jurisdiction
  • List or facilitate the sale of items in breach of the policies or terms of any connected third-party marketplace (including eBay) or other integrated third party point of sale
  • Use the Services in a manner that breaches consumer protection, product safety, trading standards, or distance-selling regulations
  • Evade or attempt to evade tax obligations, including obligations relating to Gift Aid declarations, VAT, or sales tax, using data or functionality provided by the Services
  • Process items or conduct transactions on behalf of sanctioned persons or entities, or in violation of export control or anti-money-laundering laws
  • Use the Services to facilitate fraud, deception, or misrepresentation towards donors, buyers, marketplaces, or regulatory bodies

3.2 Misuse of AI Features

  • Train or develop competing AI systems using Listaid Ltd. Outputs
  • Systematically extract AI outputs to create datasets or corpora
  • Input malicious prompts or adversarial content designed to manipulate AI systems
  • Use AI outputs in high-risk or regulated decision-making without human oversight

All AI-related prohibitions set out in Section 4.2 of the Terms of Use apply in full to this AUP.

3.3 Security Violations

You may not:

  • Attempt unauthorized access to systems, accounts, or data
  • Circumvent security controls or usage limits
  • Introduce malware or harmful code
  • Conduct scraping, harvesting, or probing for vulnerabilities
  • Interfere with platform operations or other users

3.4 Competitive Activity

You may not:

  • Use the Services to develop competing products or services
  • Extract intellectual property, confidential information, or trade secrets
  • Copy features or functionality for competitive purposes

3.5 Prohibited Content

You may not upload, create, or transmit:

  • Violent, extremist, or criminal content
  • Hate speech or discriminatory material
  • Child exploitation content
  • Harassment or threats
  • Spam or phishing content
  • Stolen, pirated, or illegal materials

4. Data Handling Requirements

4.1 Data You Input

You must:

  • Comply with the Privacy Policy when uploading or processing data
  • Not input data you lack rights or permission to use
  • Avoid uploading sensitive personal information except as permitted by law
  • Ensure compliance with UK GDPR, the Data Protection Act 2018, and other applicable data protection laws

4.2 AI Outputs

You acknowledge that:

  • AI outputs must be independently reviewed before use
  • AI may contain inaccuracies or bias
  • You assume responsibility for your use of AI-generated content

5. Compliance with Global Laws

5.1 Privacy and Data Protection

You must comply with applicable privacy obligations described in the Privacy Policy, including UK GDPR, the Data Protection Act 2018, and other applicable data protection laws.

5.2 Industry Regulations

If you operate in a regulated sector, you are solely responsible for ensuring compliance with relevant laws (e.g., the Financial Services and Markets Act 2000, the Charities Act 2011, or applicable sector-specific regulations). Listaid Ltd. is not intended for regulated data unless explicitly agreed in writing.

5.3 Export Controls

You may not use the Services in violation of:

  • UK export control legislation
  • OFSI financial sanctions (HM Treasury)
  • Comparable international restrictions

6. Organizational Responsibilities (If Applicable)

Organizations using Listaid Ltd. must:

  • Comply with eBay and other third party online marketplaces Terms of Use
  • Comply with the Terms of Use of the Cybertill and other third party ePOS integrated with ListAid

7. Enforcement

7.1 Actions We May Take

Depending on severity, Listaid Ltd. may:

  • Restrict access to the ListAid application
  • Restrict access to listing on third party marketplaces
  • Limit the volume of items the Organization can process per day, week or month
  • Terminate the Customer’s subscription in accordance with the SaaS Terms if the breach is material and remains uncured

7.2 Monitoring

As described in the TOU and Privacy Policy, Listaid Ltd. may monitor usage for security, compliance, service performance, and legal purposes. Automated tools may be used. Monitoring shall be limited to what is reasonably necessary and proportionate. Provider will not access Customer Data content except as required for security, legal compliance, or at Customer’s request.

8. Updates to This AUP

We may update this AUP in accordance with the Terms of Use. Updates take effect upon posting. If you do not agree with the updated AUP, you may cease use of the Services in accordance with the Terms of Use.
